Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Anthony Etukudoh, trading as Mosaic ("Mosaic", "we", "us", or "our"), governing your access to and use of the Mosaic web application and all related services, content, and features (collectively, the "Service").

By registering an account, accessing the Service, or otherwise using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use the Service.

These Terms are governed by the laws of the Federal Republic of Germany. Where you are a consumer resident in the European Union, you retain all rights afforded to you under applicable mandatory consumer protection law, which these Terms do not seek to limit.

The Service is intended for individuals aged 18 years or older. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a couple, both partners must individually agree to these Terms.

Mosaic is not a licensed medical, psychiatric, or psychological service. The Service provides educational content, communication tools, and access to independent coaches and therapists. It does not constitute therapy, counselling, medical advice, or crisis intervention. If you are experiencing a mental health emergency, please contact the relevant emergency services in your country immediately.

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately at [email protected] if you suspect any unauthorised use of your account. Mosaic will not be liable for any loss or damage arising from your failure to maintain the security of your account.

We reserve the right to suspend or terminate your account at our sole discretion if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or used the Service in a manner that harms other users or Mosaic.

Mosaic offers both a free tier and paid premium subscription plans. The current pricing is as follows: a Founding Member monthly subscription at €7.99 per month, and a Founding Member annual subscription at €59.99 per year. Standard pricing after the founding cohort closes will be €11.99 per month or €89.99 per year. Prices are inclusive of applicable VAT where required by law. Mosaic reserves the right to modify pricing at any time, with at least 30 days' notice to existing subscribers.

Subscriptions are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe. By subscribing, you authorise Mosaic to charge your designated payment method on each billing date. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.

Right of Withdrawal (EU Consumers): In accordance with § 355 BGB and Directive 2011/83/EU, EU consumers have a 14-day right of withdrawal from the date of purchase. However, by accessing premium content immediately upon subscription, you expressly consent to the immediate commencement of the service and acknowledge that the right of withdrawal is extinguished once the digital content has been fully delivered and you have confirmed this. Refunds for partial subscription periods are not provided unless required by applicable law.

One-time purchases (courses, workshops) are non-refundable once the digital content has been accessed, in accordance with § 356(5) BGB. If you experience a technical issue preventing access, please contact us and we will resolve it promptly.

The Mosaic Coaching Marketplace connects users with independent coaches and therapists ("Coaches"). Mosaic acts as a platform intermediary only. Coaches are independent contractors and are not employees, agents, or representatives of Mosaic. Mosaic does not provide therapy, counselling, or coaching services directly.

Mosaic charges a platform commission of 15% on all coaching session fees. The remaining 85% is paid to the Coach. Session fees are displayed on each Coach's profile and are agreed between you and the Coach at the time of booking.

Mosaic does not verify, endorse, or guarantee the qualifications, credentials, or suitability of any Coach listed on the platform. You are responsible for conducting your own due diligence before engaging a Coach. Mosaic shall not be liable for any advice, guidance, or actions taken by a Coach in the course of a coaching session.

Cancellation of booked sessions is subject to the individual Coach's cancellation policy, which is displayed on their profile. Mosaic's platform fee is non-refundable once a session has been confirmed.

All content on the Mosaic Service — including but not limited to text, frameworks, exercises, module content, course materials, assessments, graphics, logos, and software — is the exclusive intellectual property of Anthony Etukudoh / Mosaic and is protected by German and international copyright law (Urheberrechtsgesetz, "UrhG") and other applicable intellectual property laws.

The content of the Service is derived in part from the published works What We Were Never Told About Love and Family and the Couples Communication Guide, authored by Anthony Etukudoh. All rights in these works are reserved.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from the Service without our prior written consent. Unauthorised use constitutes an infringement of our intellectual property rights and may result in civil and criminal liability.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to: upload, transmit, or share content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable; impersonate any person or entity; interfere with or disrupt the integrity or performance of the Service; attempt to gain unauthorised access to any part of the Service or its related systems; use the Service for commercial purposes without our prior written consent; or violate any applicable law or regulation.

Mosaic reserves the right to remove any content and suspend or terminate any account that violates these standards, without prior notice and without liability.

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Mosaic expressly disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Mosaic does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Mosaic does not warrant the accuracy, completeness, or usefulness of any content on the Service, including AI-generated advice and recommendations. The Service is not a substitute for professional psychological, psychiatric, medical, or legal advice.

To the fullest extent permitted by applicable law, Mosaic and its founder, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Service, even if advised of the possibility of such damages.

Mosaic's total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to Mosaic in the 12 months preceding the claim.

Nothing in these Terms limits or excludes Mosaic's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable German or EU law, including liability under the German Product Liability Act (Produkthaftungsgesetz).

You agree to indemnify, defend, and hold harmless Mosaic and its founder, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

For consumers resident in the European Union, the mandatory consumer protection laws of your country of residence apply in addition to German law. The European Commission provides an online dispute resolution (ODR) platform for consumer disputes, accessible at https://ec.europa.eu/consumers/odr. Our email address for ODR purposes is [email protected]. We are not obliged to participate in dispute resolution proceedings before a consumer arbitration board, but we are willing to do so in individual cases.

Any disputes not resolved through the ODR platform shall be subject to the exclusive jurisdiction of the courts of Germany, unless mandatory consumer protection law provides otherwise.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a prominent notice on the Service or by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your subscription before the changes take effect.

You may terminate your account at any time by contacting us or using the account deletion feature in the Service. Upon termination, your right to use the Service ceases immediately. Sections 6 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), and 11 (Governing Law) survive termination.

Mosaic may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination by Mosaic for breach, no refund of any subscription fees will be provided.
